1. Agreement to Terms
By accessing wipjar.ai or any of its subdomains (the "Site"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site.
The Site is operated by Kiwi Bar, Inc., a Delaware corporation doing business as WIPJar ("Company," "we," "us," "our"), located at 29 West 36th Street, 9th Floor, New York, NY 10018. References to "WIPJar" in these Terms refer both to the Site and to Kiwi Bar, Inc. as the legal entity.
These Terms govern your use of the Site only. Use of any future WIPJar product or service may be subject to additional or separate terms, which will be provided to you at the time of sign-up.
2. Description of the Site
The Site is an informational website describing WIPJar, a buying-signals infrastructure service for B2B firms. The Site does not currently provide direct access to a software application or paid service. Communication initiated through the Site (e.g., requesting access) does not create any contractual relationship between you and WIPJar; any future commercial relationship is governed by separately executed agreements.
3. Acceptable Use
You agree not to:
- Use the Site for any illegal purpose
- Attempt to gain unauthorized access to the Site, its servers, or any related systems or networks
- Interfere with or disrupt the operation of the Site
- Use automated means (bots, scrapers, etc.) to extract data from the Site without our prior written consent
- Misrepresent your identity or affiliation when contacting us through the Site
4. Intellectual Property
The Site, including its design, copy, code, trademarks, and logos, is owned by Kiwi Bar, Inc. and protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Site without our prior written consent, except for personal, non-commercial use of publicly displayed content.
The "WIPJar" name and mark are trademarks of Kiwi Bar, Inc.
5. Disclaimer of Warranties
The Site is provided "as is" and "as available." We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
Information published on the Site is provided for general informational purposes and may be updated, removed, or changed without notice. We make no representations or guarantees regarding the accuracy, completeness, or current status of any information on the Site.
6. Limitation of Liability
To the maximum extent permitted by law, Kiwi Bar, Inc. and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Our total liability for all claims arising from or related to the Site shall not exceed one hundred dollars ($100).
7. Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Site shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
8. Changes to Terms
We may update these Terms from time to time. The "Effective" date at the top reflects the most recent revision. Your continued use of the Site after changes take effect constitutes acceptance.
